Terms and Conditions

1. Introduction

These Terms and Conditions ("Terms") govern access to and use of the website located at astratechnos.com (the "Site") and the technology, information, and education services (the "Services") provided by Astratechnos Ltd., a company registered in Ireland with its registered office at Level 6, Meridian House, 48 Harbourview Quay, Dublin 2, D02 XN91, Ireland ("Astratechnos," "we," "us," or "our").

By accessing the Site or engaging Astratechnos for Services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you should not use the Site or engage our Services.

2. Definitions

In these Terms: "Engagement" means any specific project, retainer, training program, or advisory arrangement agreed between Astratechnos and a Client, typically documented in a proposal, statement of work, or order form. "Deliverables" means any materials, reports, software configurations, training content, or documentation produced by Astratechnos as part of an Engagement. "Client Materials" means any data, content, systems access, or information provided by the Client for the purpose of an Engagement.

3. Acceptance of Terms

These Terms apply to all visitors to the Site and to all Clients who engage Astratechnos for Services. Where a separate signed proposal, statement of work, or master services agreement exists for a specific Engagement, the terms of that document will take precedence over these Terms in the event of a direct conflict, with these Terms continuing to apply to all matters not expressly addressed in it.

4. Description of Services

Astratechnos provides services across four general categories:

• IT Services — including custom software support, systems consulting, technical support, and IT infrastructure advisory.
• Information & Data Services — including research services, data management and governance, information consulting, and content and knowledge services.
• Education & Training — including corporate training programs, professional development courses, workshops, and e-learning solutions.
• Other Specialized Services — bespoke engagements scoped individually with Clients.

The specific scope, timeline, and deliverables of any Engagement will be set out in a proposal or statement of work agreed in writing prior to commencement of work. Astratechnos reserves the right to decline any Engagement request at its sole discretion.

5. Use of Services

You agree to use the Site and Services only for lawful purposes and in accordance with these Terms. You agree not to: (a) use the Services to build a competing product or service without our prior written consent; (b) misrepresent your identity or authority to act on behalf of an organization; (c) attempt to gain unauthorized access to any systems, accounts, or data belonging to Astratechnos or other clients; or (d) use automated means to scrape, copy, or reproduce substantial portions of the Site without permission.

6. Client Obligations

To enable Astratechnos to deliver Services effectively, Clients agree to:

• Provide timely, accurate, and complete information and Client Materials reasonably required for the Engagement;
• Designate an authorized point of contact with sufficient authority to make decisions relevant to the Engagement;
• Provide reasonable access to relevant systems, personnel, and facilities where required for delivery, subject to the Client's own security policies;
• Review and provide feedback on Deliverables within the timeframes agreed for the Engagement; and
• Ensure that any third-party licenses, consents, or permissions required for Astratechnos to perform the Services are in place prior to commencement.

Delays caused by a Client's failure to meet these obligations may result in adjusted timelines or additional fees, which will be communicated in advance where reasonably possible.

7. Fees and Payment

Fees for Services will be set out in the applicable proposal, statement of work, or invoice. Unless otherwise agreed in writing, invoices are payable within thirty (30) days of the invoice date. Late payments may be subject to interest at a rate of 1.5% per month (or the maximum permitted by applicable law, if lower) and Astratechnos reserves the right to suspend Services for overdue accounts following written notice. All fees are exclusive of applicable taxes, which will be added where required by law.

8. Intellectual Property

Unless otherwise agreed in writing: (a) Astratechnos retains ownership of all pre-existing methodologies, tools, templates, training materials, and general know-how used in delivering the Services ("Astratechnos IP"); (b) upon full payment of applicable fees, the Client is granted a non-exclusive, perpetual license to use Deliverables created specifically for that Engagement for the Client's internal business purposes; and (c) any Astratechnos IP incorporated into Deliverables remains the property of Astratechnos and is licensed, not assigned, to the Client as part of the Deliverable.

All content on the Site, including text, graphics, logos, and the Astratechnos name and mark, is the property of Astratechnos or its licensors and may not be reproduced without prior written consent, except for personal, non-commercial reference.

9. Confidentiality

Each party agrees to protect the confidential information of the other party with the same degree of care it uses for its own confidential information, and no less than a reasonable standard of care. Confidential information disclosed during an Engagement will not be used for any purpose outside the scope of that Engagement, except where disclosure is required by law or regulatory authority, in which case the disclosing party will, where legally permitted, provide reasonable notice to the other party.

10. Warranties and Disclaimers

Astratechnos will perform Services with reasonable skill and care consistent with generally accepted industry standards. Except as expressly stated in these Terms or an applicable statement of work, Services and Deliverables are provided "as is" and Astratechnos disclaims all other warranties, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by applicable law. Astratechnos does not warrant that any training program will result in specific certification, employment, or performance outcomes for individual participants.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Astratechnos's total aggregate liability arising out of or relating to an Engagement, whether in contract, tort, or otherwise, shall not exceed the total fees paid by the Client to Astratechnos for the specific Engagement giving rise to the claim in the twelve (12) months preceding the event giving rise to liability. Astratechnos shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity, even if advised of the possibility of such damages. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under applicable law.

12. Indemnification

Each party agrees to indemnify and hold the other harmless from third-party claims arising from that party's breach of these Terms, gross negligence, or willful misconduct, except to the extent such claims arise from the indemnified party's own breach, negligence, or misconduct.

13. Term and Termination

These Terms remain in effect for as long as you use the Site or have an active Engagement with Astratechnos. Either party may terminate an ongoing Engagement in accordance with the termination provisions of the applicable statement of work; where no such provisions exist, either party may terminate an open-ended Engagement upon thirty (30) days' written notice. Upon termination, the Client remains liable for fees for Services performed up to the effective date of termination. Sections relating to Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law survive termination.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland, without regard to conflict of law principles. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Ireland, save where mandatory consumer protection law provides otherwise.

15. Changes to These Terms

Astratechnos may update these Terms from time to time to reflect changes in our Services, legal requirements, or business practices. Material changes will be indicated by updating the "Last updated" date at the top of this page. Continued use of the Site or Services after changes take effect constitutes acceptance of the revised Terms. For active Engagements, changes to these general Terms will not override terms already agreed in a signed statement of work without mutual written consent.
